TERMS OF SERVICE

Studio Wimborne – Terms of Service

Last updated: 01/01/2025

These Terms of Service set out the basis on which Studio Wimborne (“we”, “our” or “us”) provides interior design and related services to our clients (“you” or “the Client”).

By engaging Studio Wimborne, you agree to the terms below. Please read them carefully and contact us if you have any questions.

1. Scope of Work

We offer a range of bespoke interior design services, from full home renovations to room refreshes, styling, sourcing, and project coordination. The scope of services will be clearly outlined in your personalised Design Proposal or Letter of Agreement before work begins.

We will only proceed once we receive your written acceptance of our proposal and these Terms of Service.

2. Fees and Payment

Fees will be agreed in writing prior to the start of the project. These may be structured as:

  • A flat design fee (for concept and design work)

  • Daily rate (e.g. for sourcing, styling, site visits, or project coordination)

  • Markup on trade purchases (e.g. furnishings, fittings, bespoke items)

Invoicing schedule

  • A deposit (typically 50%) is due on acceptance of the proposal

  • The remaining balance is invoiced at agreed milestones or monthly in arrears

  • Payment is due within 7 days of invoice date

Late payments may incur interest in accordance with the UK Late Payment of Commercial Debts Act (8% plus base rate).

3. Purchasing and Procurement

If you authorise us to procure items on your behalf, full payment for those items (including VAT, delivery, and any applicable fees) is required in advance.

All products remain the property of Studio Wimborne or its suppliers until paid in full.

We cannot guarantee delivery times or availability for third-party goods but will advise you promptly of any delays or substitutions.

4. Cancellations and Delays

If you wish to cancel or postpone work, we ask for at least 7 days’ notice in writing. Fees for work already completed or committed (e.g. custom orders) are non-refundable.

We are not liable for delays caused by contractors, third-party suppliers, or circumstances beyond our control (e.g. illness, extreme weather, supply chain issues).

5. Intellectual Property

All design concepts, moodboards, drawings, floor plans, and visualisations remain the intellectual property of Studio Wimborne and may not be copied, reproduced, or shared with third parties without written consent.

Upon full payment of fees, we grant you a non-exclusive licence to use the final design for personal (non-commercial) use in your property.

6. Photography and Marketing

We may request access to professionally photograph your completed project for our portfolio and marketing use (website, social media, press, etc.). You’ll be notified in advance and may request anonymity if preferred.

We will never share personal or financial details publicly.

7. Client Responsibilities

You agree to:

  • Provide clear and timely communication throughout the project

  • Make decisions within agreed timelines to avoid delays

  • Ensure access to the property and contractors as required

  • Notify us promptly of any issues, changes, or concerns

8. Limitations of Liability

While every effort is made to ensure quality and accuracy, Studio Wimborne is not liable for:

  • Work carried out by third-party contractors (even if recommended by us)

  • Delays or defects in third-party products or materials

  • Loss, damage, or costs arising from inaccurate information provided by you

Our total liability is limited to the total fees paid to Studio Wimborne for the project.

9. Third-Party Contractors

Studio Wimborne may recommend trusted third-party contractors or tradespeople to carry out works (e.g. builders, decorators, joiners, electricians). These professionals are engaged directly by you, and any contracts, payments, or arrangements are solely between you and the contractor.

While we take care to recommend individuals or firms with proven experience, we cannot be held responsible for:

  • The quality or timeliness of their work

  • Their conduct on site

  • Any damage, defects, or delays caused by their services

If required, we can liaise with your chosen contractors as part of our design coordination services, but this does not constitute supervision or project management unless expressly included in our proposal.

10. Data Protection

We take your privacy seriously. Any personal data collected will be used solely to deliver our services and manage our relationship with you. We will never sell or share your data with third parties.

Please refer to our [Privacy Policy] for full details.

11. Governing Law

These Terms are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the English courts.
